ALTiQ AI Solutions LLC • Applies to AURA, Autofill, bundled purchases, and future ALTiQ services

These Terms & Conditions ("Terms") form a legal agreement between you ("Customer", "you") and ALTiQ AI Solutions LLC ("ALTiQ", "we", "us") and govern your access to and use of our services,
including the AURA AI Chatbot Platform, the Autofill Form Automation Tool, any bundled offerings, and any future services we may provide (collectively, the "Services").
1) Acceptance & Scope
- By creating an account, starting a trial, purchasing a subscription, or using the Services, you agree to these Terms.
- If you use the Services on behalf of an organization, you represent you have authority to bind that organization.
- If you have a separate signed agreement with ALTiQ, that agreement controls in the event of a conflict.
2) Accounts & Security
- You must provide accurate information and keep your account information current.
- You are responsible for maintaining the confidentiality of credentials and for all activity under your account.
3) Subscriptions, Billing & Pricing
- Auto-renewal: Subscriptions renew automatically (monthly or annually) unless you cancel before the renewal date.
- Pricing changes: ALTiQ may change pricing with notice. Updated pricing applies at the next renewal unless you cancel.
- Taxes & third-party fees: Taxes and payment processor/third-party fees are excluded unless explicitly stated.
- Usage-based charges: If your plan includes usage limits or overages, you agree ALTiQ may bill applicable overages as described in your plan.
4) Trials
- Trials may be offered at ALTiQ’s discretion. Trial limitations may apply.
- No charges during a trial unless you convert to a paid plan or otherwise authorize billing.
5) 15-Day Money-Back Guarantee (Initial Fees Only)
ALTiQ offers a 15-day money-back guarantee on initial subscription fees paid directly to ALTiQ.
- Eligibility: Only the initial subscription fees for your first paid subscription term, requested within 15 days of the initial charge.
- Exclusions: Refunds exclude (a) payment processor transaction fees (e.g., PayPal/Stripe), (b) taxes, and (c) usage-based charges or overages (if applicable).
- Void if: You violate these Terms, or ALTiQ detects abuse, excessive usage, or misuse of the Services.
- After 15 days: No refunds after 15 days.
- Method: Approved refunds are processed to the original payment method.
6) Acceptable Use
- You will use the Services in compliance with applicable laws and these Terms.
- You will not misuse the Services (including attempting unauthorized access, disrupting systems, or using the Services to distribute malware or engage in fraud).
7) Product-Specific Use
- AURA: Conversational AI, knowledge retrieval, and automation workflows for customer engagement.
- Autofill: Form automation that operates using Customer-provided data, mappings, and destinations.
- You are responsible for the legality, accuracy, and appropriateness of any data you upload or provide to the Services and for your use of outputs.
8) AI Output Disclaimers
- No accuracy guarantee: AI-generated outputs may be incorrect, incomplete, or unsuitable for your use case.
- Human review required: You are responsible for reviewing and validating outputs before relying on them.
- No professional advice: The Services do not provide legal, financial, medical, or compliance advice, and ALTiQ is not liable for decisions made based on AI-generated content.
9) Data, Privacy & Security
- Privacy Policy: Our privacy practices are described in our Privacy Policy.
- Customer data ownership: You retain ownership of your data.
- Processing: ALTiQ may process data to provide, maintain, secure, and improve the Services.
10) Intellectual Property
- ALTiQ and its licensors retain all rights, title, and interest in and to the Services and underlying technology.
- If you provide feedback, ALTiQ may use it to improve the Services without obligation to you.
11) Suspension & Termination
- Customer cancellation: You may cancel at any time; cancellation stops future renewals.
- ALTiQ suspension/termination: We may suspend or terminate access for violations, non-payment, suspected fraud/abuse, or to comply with law.
12) Limitation of Liability
- Liability cap: To the maximum extent permitted by law, ALTiQ’s total liability is capped at the fees paid by you to ALTiQ in the 12 months before the event giving rise to the claim.
- Excluded damages: ALTiQ is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages.
13) Indemnification
You will indemnify and defend ALTiQ from claims arising out of your use of the Services, your data, your violation of these Terms, or your misuse of AI outputs.
14) Changes to Services or Terms
- ALTiQ may update the Services and these Terms from time to time.
- Material changes will be communicated via email or in-product notice where practical.
- Continued use after the effective date of updated Terms constitutes acceptance.
15) Governing Law
These Terms are governed by the laws of the State of Washington and the United States, without regard to conflict of law principles.
